Contract language: English (prevailing) 

1. DEFINITIONS 

For the purposes of this Offer: 

Service Provider Valentyn Kyryk Strategy Studio, operated by Valentyn Kyryk  (JDG), Warsaw, Poland. 

Client – a B2B agency, marketer, business client or their authorized representative. Service – preparation and delivery of the White Label Strategy Document package. Brief – an online form containing information provided by the Client. 

Delivery Files – PDF documents sent to the Client by email. 

Pilot Collaboration – the first order with a discount, available only to new Clients. Standard Collaboration – all subsequent orders at the standard price. 

Business Days – Monday to Friday, excluding official public holidays in Poland.

2. INTRODUCTION 

This Offer governs the terms under which the Service Provider renders the Service. Payment by the Client means: 

• full and unconditional acceptance (acceptance) of this Offer. 

No physical (wet-ink) contract signature is required. 

3. INFORMATION ABOUT THE SERVICE PROVIDER 

Service Provider: Valentyn Kyryk Strategy Studio

Communication format: email only, asynchronous 

4. DESCRIPTION OF THE SERVICE

The Service Provider delivers a digital strategic package White Label Strategy Document,  consisting of four PDF files: 

• Document for the Content Creator 

• Document for the Marketer 

• Document for the Entrepreneur (simplified version) 

• Document for the Media Buyer / Performance Specialist 

All materials are created exclusively on the basis of the data from the Brief. The final documents are provided in English. 

Translation into other languages is possible as an additional service and is charged separately. 

The final documents are delivered in PDF format. 

Source files (editable formats) are not included in the Service. 

5. COMMUNICATION FORMAT 

• All communication is carried out exclusively by email

• No calls, video calls, meetings, or consultations are provided. 

• The Service Provider does not communicate with the Client’s end customers. • Work starts only after the completed Brief is received. 

• The Service is delivered fully in digital form. 

After payment, the Client automatically receives the Brief in PDF format by email. The Service Provider starts work only after receiving the fully completed Brief. The Client bears full responsibility for the correctness, completeness, and relevance of the data  provided. 

6. SCOPE OF WORK 

Included: 

• analysis of the Brief; 

• structuring of the data; 

• preparation of four PDF documents; 

• sending the result by email. 

Not included: 

• consultations and calls; 

• edits and revisions; 

• creation of advertising campaigns; 

• ad campaign management; 

• ad audit; 

• creative production; 

• work with the Client’s own customers; 

• additional analytics or research. 

No revisions: 

The Service is provided without any changes or edits after delivery.

7. DELIVERY TIMEFRAME 

• delivery time – up to 7 (seven) Business Days

• the countdown starts after receipt of the Brief; 

• if the Brief is delayed (sent late), the delivery time is automatically shifted; • if the Client does not send the Brief within 14 days, the Service is considered fully  rendered. 

Timeframes are calculated in Business Days according to the official Polish calendar (Mon–Fri,  excluding public holidays). 

8. ACCEPTANCE OF THE RESULT 

• The Service is deemed rendered at the moment the Delivery Files are sent to the Client’s  email. 

• No explicit confirmation of receipt from the Client is required. 

• If the Client does not respond within 7 days, the result is deemed accepted. • After delivery, no edits or changes are possible. 

9. PILOT AND STANDARD COLLABORATION Pilot Collaboration 

• applies to the first order; 

• includes a discount; 

• repeated use is prohibited. 

Standard Collaboration 

• applies to all subsequent orders; 

• full (standard) price. 

The current Service price is indicated on the Service Provider’s website and/or calculated  individually upon the Client’s request. 

The final cost of a specific order is fixed in the invoice issued for payment. The Service Provider reserves the right to change prices on the website without prior notice and  without updating this Offer. 

10. PAYMENT 

• Payment is made via Stripe

100% prepayment is required. 

• The basis for payment is an invoice issued by the Service Provider, indicating the final  Service cost. 

• The receipt is generated automatically. 

• Paper contracts and manually issued invoices are not provided. 

Payment must be made within 3 (three) Business Days from the date the invoice is received. The payment date is the date the funds are credited to the Service Provider’s account.

Payment = acceptance of the terms of this Offer. 

11. REFUND POLICY 

A refund is only possible before the Client sends the completed Brief. A refund is not possible if: 

• the Brief has been sent; 

• 14 days have passed without sending the Brief; 

• the Client is subjectively dissatisfied with the result. 

If the Service Provider has breached the agreed delivery timeframe (through no fault of the  Client), a refund is possible. 

12. CONFIDENTIALITY 

The Service Provider undertakes to: 

• maintain confidentiality of Client data; 

• not disclose project content; 

• not contact the Client’s end customers; 

• not use materials for public purposes without the Client’s written consent.

13. INTELLECTUAL PROPERTY RIGHTS

After full payment: 

• the Client receives exclusive rights to the Delivery Files; 

• the Client has the right to use them as white-label materials; 

• the Service Provider retains rights to their own methods, frameworks, and internal  processes. 

14. LIMITATION OF LIABILITY 

The Service Provider is not liable for: 

• results of advertising campaigns; 

• sales, conversions, profit; 

• Client’s business decisions made on the basis of the materials; 

• losses caused by incorrect data provided by the Client; 

• any indirect or consequential damages. 

The Service Provider’s liability is limited to the amount paid for the Service. The Service Provider is not responsible for errors, inaccuracies, or incompleteness of data  provided by the Client. 

15. DISCLAIMER OF WARRANTIES 

The Service Provider does not guarantee:

• sales growth; 

• improvement of marketing metrics; 

• success of advertising campaigns; 

• achievement of specific business results. 

The documents are strategic recommendations

The structure and composition of the strategic documents are fixed and are not subject to change. If an agency independently changes its internal processes, the document structure is not adjusted  to such changes. 

16. CLIENT WARRANTIES 

The Client confirms that: 

• the data in the Brief is truthful and accurate; 

• they have the right to provide information to the Service Provider; 

• providing the data does not violate any NDAs or laws; 

• the Brief does not contain prohibited data. 

17. PROHIBITED USE 

The Client is not allowed to provide: 

• medical, political, biometric and other sensitive data; 

• illegal information; 

• third-party data without their consent. 

Violation of this clause entitles the Service Provider to terminate the Service without a refund. 18. SUBCONTRACTING 

The Service Provider has the right to engage subcontractors. 

19. CHANGE OF SERVICE STRUCTURE 

The Service Provider has the right to change: 

• the structure, 

• format, 

• style, 

• content of the documents 

without updating this Offer. 

20. THIRD-PARTY SERVICES 

The Service Provider is not responsible for: 

• Stripe outages;

• email service errors; 

• technical failures of third parties. 

21. TECHNICAL FAILURES 

Delays caused by: 

• email filtering; 

• temporary blocks; 

• network disruptions 

are not considered the Service Provider’s liability. 

22. DATA STORAGE AND PROCESSING (GDPR / CCPA) 

• data is stored on a secure external drive; 

• storage period – up to 90 days

• the Client may request deletion; 

• the Service Provider acts as Data Controller

• requests are processed via email. 

23. CLIENT DATA RIGHTS 

The Client may request: 

• access to their data; 

• correction; 

• deletion of data. 

24. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of Poland

Disputes are resolved in the courts of Warsaw, Poland

25. FORCE MAJEURE 

The Service Provider is not liable for delays caused by events beyond reasonable control.

26. SEVERABILITY 

If any part of this Offer is found invalid, the remaining provisions remain in force.

27. ENTIRE AGREEMENT 

This Offer replaces any prior oral or written agreements. 

28. NO PARTNERSHIP

This Agreement does not create: 

• employment relationships; 

• partnership; 

• joint venture; 

• agency relationship. 

29. SURVIVAL 

After the end of cooperation, the following provisions remain in force: 

• confidentiality; 

• intellectual property rights; 

• limitation of liability; 

• jurisdiction. 

30. UPDATING THE OFFER 

The Service Provider may update this Offer unilaterally. The new version becomes effective from the moment of publication. 

31. BREACH OF TERMS 

The Service Provider may refuse to render the Service in case of: 

• repeated use of the Pilot Collaboration; 

• fraud; 

• violation of these terms; 

• providing false information. 

32. LANGUAGE OF THE OFFER 

The prevailing legal language of this Offer is English. The Russian version is for informational purposes only.
